Working document

Working document, pending legal validation: this text binds DSSF only once validated by legal counsel. Fields in brackets “[to complete]” remain to be filled in.

1. Purpose and acceptance

These terms govern access to and use of the DSSF CONNECT platform by its users: customers (buying organisations and their members) and partner workshops (manufacturers qualified by DSSF).

Acceptance is recorded on first access to the portal (version, date, user, organisation or workshop). Each new version requires a new acceptance.

2. DSSF as sole contracting party

DSSF is the customer's sole contractual counterpart: quotations are issued by DSSF, orders are placed with DSSF and invoiced by DSSF.

DSSF entrusts manufacturing to workshops of its network under its own responsibility. Using the platform creates no direct contractual relationship between the customer and the workshop; the workshop's identity is disclosed to the customer only after an order, in line with the platform's “frosted glass” principle.

Partner workshops contract with DSSF under a separate partnership agreement; these terms complement that agreement for the use of the platform.

3. Quotations and orders

Estimates displayed online are indicative until a quotation has been validated by a DSSF engineer. A validated quotation states the price, quantities, estimated lead times, quality requirements and validity period.

Acceptance of a quotation by the customer constitutes a firm order with DSSF on the terms of the quotation. Lead times are estimated and confirmed by DSSF at each production milestone.

Payment terms, deposits, delivery, acceptance and warranties: [to complete: DSSF general terms of sale, to be annexed].

4. Accounts and security

Each user has a personal account. The buying organisation or workshop is responsible for the access it grants to its members and for its withdrawal.

Credentials are strictly personal. Users shall notify DSSF without delay of any unauthorised use of their account.

DSSF may suspend an account in case of breach of these terms, security risk or request from a competent authority.

5. Intellectual property and CAD files

CAD files, drawings, specifications and any technical data uploaded by the customer remain its exclusive property. The customer warrants that it holds the rights required for their upload.

The customer grants DSSF and the selected workshops a limited, non-exclusive licence solely for analysis, quotation, manufacturing and inspection of the ordered parts, for the time required for performance.

Files are kept in the platform's private vault (signed, logged access; NDA required for workshops). Workshops only access files of the orders assigned to them.

Automated analyses (DFM, estimates) produced by the platform are decision aids; they do not constitute engineering validation.

6. Confidentiality

Information exchanged through the platform (files, prices, volumes, workshop identities, production data) is confidential. Each party undertakes to use it only for the purposes of its relationship with DSSF.

The platform's non-disclosure agreement (NDA) details these obligations; its acceptance is required from customers and workshops.

Personal data is processed in accordance with the Privacy policy.

7. Liability and availability

DSSF uses reasonable means to ensure platform availability and security (daily backups, monitoring, rate limiting). The platform may be interrupted for maintenance; DSSF endeavours to inform users.

DSSF is not liable for indirect damages, loss of business or data resulting from non-compliant use of the platform or from the failure of an independent third-party service.

Liabilities relating to delivered parts (conformity, warranties, remedies) are governed by the quotation and DSSF's terms of sale: [to complete: liability caps and exclusions].

8. Governing law and jurisdiction

These terms are governed by Moroccan law.

Any dispute relating to their interpretation or performance shall, failing an amicable settlement, be submitted to the competent courts of [to complete: city of the competent court — to be validated by legal counsel].

For customers established in the European Union, mandatory provisions of their national law remain applicable where they cannot be waived.
